Terms of Service

1. Acceptance of Terms

By accessing or using Respondly ("Service"), operated by Respondly, Mumbai, India, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Respondly is a software-as-a-service (SaaS) tool that connects to your Google Business Profile via Google's APIs, reads customer reviews, generates AI-written reply drafts using Anthropic's Claude, and optionally posts those replies to Google on your behalf. The Service is designed for business owners and their authorised staff.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. You must also hold valid ownership or management rights over the Google Business Profile(s) you connect.

4. Account & Authentication

You sign in to Respondly using your Google account via OAuth 2.0. You are responsible for maintaining the security of your Google account and for all activity that occurs through your Respondly session. Notify us immediately at support@respondly.co.in if you suspect unauthorised access.

5. Subscriptions & Payments

5a. Plans

Respondly offers paid subscription plans (currently Starter at ₹499/month and Pro at ₹999/month, subject to change). A 7-day free trial is available to new users with no credit card required during the trial period.

5b. Billing

Payments are processed by Razorpay. By subscribing, you authorise Razorpay to charge your selected payment method on a recurring monthly basis. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.

5c. Cancellation & Refunds

You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not offer pro-rated refunds for partial months. If you believe you were charged in error, contact us within 7 days of the charge.

5d. Trial Expiry

At the end of the free trial, your account will be downgraded to a locked state. You must subscribe to continue using the Service. We will not charge you automatically after the trial without your consent.

6. Acceptable Use

You agree not to use Respondly to:

• Post false, misleading, or defamatory content to Google reviews.
• Violate Google's Review policies or any other Google Terms of Service.
• Access Google Business Profiles you do not own or have explicit permission to manage.
• Reverse engineer, scrape, or abuse the Service in ways that degrade performance for other users.
• Use the Service for any unlawful purpose under Indian law or the laws applicable to you.

We reserve the right to suspend or terminate accounts that violate these terms.

7. Google Services & Third-Party Terms

Respondly integrates with Google APIs. Your use of Google features within Respondly is also subject to Google's Terms of Service and Privacy Policy. You are responsible for ensuring your use of Google Business Profile complies with Google's policies.

8. AI-Generated Content

The reply drafts generated by Respondly are suggestions produced by an AI model. You are solely responsible for reviewing and approving any content before it is posted to Google. Respondly does not guarantee the accuracy, tone, or appropriateness of AI-generated replies for every situation. We recommend reviewing all drafts before posting.

9. Intellectual Property

The Respondly platform, including its code, design, and branding, is owned by Respondly and protected by applicable intellectual property laws. You retain ownership of your business data and the content of your Google reviews. You grant us a limited licence to process that data solely to provide the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Respondly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability in any calendar month shall not exceed the amount you paid us in that month.

12. Indemnification

You agree to indemnify and hold harmless Respondly and its founders, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or content you post to Google via the Service.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 8-12 survive termination.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

15. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes your acceptance of the revised Terms.
